Caledonia names Ndlovu chairman after AGM

HARARE – CALEDONIA Mining Corporation Plc on Tuesday said July Ndlovu has been appointed chairman following the retirement of John Kelly, who stood down as part of a planned succession at the gold miner.

Ndlovu replaces Kelly, who stepped down from the role as part of a previously announced succession plan but remains on the board as a director.

The company said the appointment took effect immediately after the AGM, where shareholders approved all resolutions, including the re-election of directors. Ndlovu secured more than 99% support from shareholders voting on his reappointment to the board.

The transition comes as Caledonia continues to focus on operations at its flagship Blanket Mine in Zimbabwe and pursue its broader growth strategy in the region.

In a statement, Ndlovu thanked outgoing chairman Kelly for his leadership and also acknowledged the departure of director Nick Clarke, who did not stand for re-election.

“On behalf of the Board and management team, I would like to thank Nick for his significant contribution
to Caledonia since he joined the Board in 2019,” he said.

“His depth of mining experience and technical knowledge have been greatly valued, and his advice and support have been important to the Company over a number of years. We wish him all the very best for the future.”

All resolutions put to the AGM were passed.

Shareholders representing 56.47% of outstanding voting shares participated either in person or by proxy.

Shareholders also reappointed BDO South Africa Inc as auditor and authorised directors to approve its remuneration. Tariro Gadzikwa, Gordon Wylie, Geralda Wildschutt and Lesley Goldwasser were reappointed to the audit committee.
